- "Products" refers to polymer granules, compounds, molded parts, sheets, packaging materials, and any other goods manufactured or supplied by VP Polymers.
- "Services" refers to injection molding, polymer processing, custom manufacturing, quality testing, logistics support, and design consultation.
- "Order" refers to any confirmed purchase order, work order, or service agreement entered into between the Customer and VP Polymers.
2. Website Use
You agree to use the VP Polymers website only for lawful purposes and in accordance with these Terms. You must not:
- Use the website in any way that violates applicable Indian or international law or regulation
- Transmit or upload any harmful, offensive, or illegal content
- Attempt to gain unauthorised access to any part of the website or its underlying systems
- Use automated tools (bots, scrapers) to collect data from the website without our prior written consent
- Introduce viruses, trojans, or other malicious code that could damage website functionality
- Reproduce, duplicate, copy, or re-sell any part of the website in violation of our intellectual property rights
We reserve the right to terminate access to the website for any user who violates these conditions, without prior notice.

4. Products & Services
VP Polymers reserves the right to:
- Modify product specifications, materials, or designs to improve quality or comply with standards, with reasonable notice to existing customers
- Discontinue any product or service without prior notice
- Decline any order at our sole discretion, including orders that conflict with our capacity, ethics, or applicable export regulations
- Supply equivalent substitute materials where specified grades are temporarily unavailable, subject to customer approval
Product images, descriptions, and technical data on this website are provided in good faith and are subject to change. Customers must confirm final specifications in writing prior to placing a formal order.
5. Orders & Payment
All orders are subject to VP Polymers' written confirmation. An order is deemed accepted only upon our issuance of a written Order Acknowledgement or Proforma Invoice.
- Pricing: All prices are quoted exclusive of GST unless explicitly stated otherwise. Prices are subject to change until a formal order is confirmed.
- Payment Terms: Standard terms are 100% advance payment for new customers. Established customers may be offered 30–60 day credit terms subject to credit approval.
- GST: Applicable Goods and Services Tax (GST) will be charged as per prevailing rates under Indian law.
- Late Payment: Overdue invoices will attract interest at 18% per annum from the due date until payment is received in full.
- Currency: All transactions are conducted in Indian Rupees (INR) unless a separate agreement specifies otherwise for export orders.
6. Delivery & Logistics
- Delivery timelines provided in quotations are estimates and may vary due to production schedules, material availability, or logistics conditions.
- Risk of loss or damage passes to the Customer upon dispatch from our premises (ex-works) unless otherwise agreed in writing.
- VP Polymers is not liable for delays caused by third-party logistics providers, force majeure events, or causes beyond our reasonable control.
- For export orders, the Customer is responsible for complying with all import regulations, duties, and customs requirements in the destination country.
- Partial deliveries may be made at our discretion and will be invoiced accordingly.
7. Quality & Returns
Inspection: Customers must inspect all goods within 7 days of receipt. Any claims for visible defects, short shipment, or non-conformance must be notified in writing within this period.
Quality Claims: For quality-related claims, we require a written claim with batch numbers, test reports, and supporting evidence. We will investigate and respond within 15 business days.
Returns: Goods may only be returned with our prior written authorisation. Authorised returns must be in original packaging and accompanied by the original delivery documentation. Return freight costs are at the Customer's expense unless the goods are confirmed defective.
Refunds: Refunds or replacements for confirmed defective goods will be processed within 30 days of acceptance of the return claim. We do not accept returns of custom-manufactured or specially formulated products unless defective.
8. Warranties & Representations
VP Polymers warrants that all products supplied will:
- Conform to the agreed technical specifications at the time of dispatch
- Be free from manufacturing defects under normal handling and storage conditions
- Be accompanied by accurate material and test documentation
This warranty does not cover defects arising from improper handling, storage, processing, or use beyond the recommended parameters. VP Polymers makes no representations about the suitability of products for any specific end application — customers are responsible for validating suitability for their intended use.
All implied warranties of merchantability or fitness for a particular purpose, beyond those expressly stated herein, are disclaimed to the fullest extent permitted by applicable law.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- VP Polymers' total liability for any claim arising out of or related to these Terms, a product, or a service shall not exceed the invoice value of the specific goods or services giving rise to the claim.
- We shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of revenue, or loss of business opportunity.
- We are not liable for any damage arising from reliance on information on this website, including product data sheets and technical specifications, without prior written confirmation from our technical team.
- Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.
10. Indemnification
You agree to indemnify, defend, and hold harmless VP Polymers, its directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms and Conditions
- Your use of our products in applications for which they were not specified or validated
- Any breach of your representations, warranties, or obligations
- Infringement of any third-party rights resulting from your use of our products
11. Confidentiality
Each party may receive confidential information from the other in connection with business discussions or orders. Both parties agree to:
- Keep all confidential information strictly confidential and not disclose it to third parties without prior written consent
- Use confidential information solely for the purpose of the business relationship
- Apply reasonable security measures to protect confidential information
This obligation of confidentiality survives termination of any business relationship for a period of three (3) years. Custom formulations, tooling designs, and technical drawings shared by either party are deemed confidential by default.
12. Force Majeure
VP Polymers shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, or fires
- Government actions, sanctions, embargoes, or regulatory changes
- Epidemics, pandemics, or public health emergencies
- Strikes, labour disputes, or industrial action
- Shortages of raw materials, energy, or transportation due to market conditions
- Cyberattacks or critical infrastructure failures
In such events, we will notify the Customer promptly and use commercially reasonable efforts to resume performance as soon as practicable. If a force majeure event continues for more than 90 days, either party may terminate the affected order without penalty.
13. Governing Law & Disputes
These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Tamil Nadu. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
Dispute Resolution: Before commencing formal legal proceedings, the parties agree to attempt resolution through good-faith negotiations for a minimum of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement, and proceedings conducted in Chennai in the English language.
14. Amendments
VP Polymers reserves the right to update, modify, or replace these Terms and Conditions at any time. The revised terms will be posted on this page with an updated effective date. Material changes will be communicated via a notice on our website homepage for a minimum of 30 days. Continued use of our website or services after changes are effective constitutes acceptance of the revised terms.
These Terms supersede all prior agreements, understandings, or representations between the parties relating to the subject matter herein, unless a specific written contract signed by both parties exists — in which case that contract governs.
